Términos de uso

Última actualización

These Terms of Use govern the use of paperrise, the service offered at paperrise.com. Please read them carefully, especially section 2, which summarizes the most important points, section 12, which covers locking and deleting accounts, and, if you use organizations, sections 23 and 24. Clauses that limit your rights are highlighted, in a box or in bold. By creating an account, you accept these Terms and confirm that you have read the Privacy Policy. This English version is a translation; see section 22 on which version prevails. In force since October 12, 2026.

1. Who we are

paperrise is offered by Baesso Works Servicos Administrativos LTDA., registered with the Brazilian company registry (CNPJ) under No. 50.377.331/0001-13, with its registered office at Praca Cruz da Esperanca, 106. Vila Baruel, São Paulo - SP. 02522040 - Brazil. (“paperrise” or “we”). “You” are the person who creates an account and uses the service. When an organization subscribes to the Team plan, the organization is also our customer (section 23).

For any matter relating to these Terms, your account or your subscription, write to contact@paperrise.com.

2. Summary of the key points

This summary does not replace the rest of the Terms, but highlights what affects you most:

  • The trial is free, lasts 14 days, includes 1 project and needs no card. When it ends, nothing is charged: the account is locked until you subscribe to Pro.
  • Paid plans are sold only to customers in Brazil, with a billing address and a card from Brazil (section 7); the trial is open to everyone.
  • The Pro plan, for individual use, is monthly and renews automatically every month until you cancel. The Team plan, for organizations, is charged per user per month; the owner counts as one user, and an organization can start with the owner alone and add users later (section 23).
  • You can cancel at any time, with no penalty, from your account. Access continues until the end of the period already paid for.
  • You can withdraw from a Pro or Team subscription (or a reactivation) within 7 days, by email, and get a full refund (section 9). For consumers in the European Union, the European Economic Area and the United Kingdom, the period is 14 days.
  • If a renewal is not paid, you keep full access for 7 days. After that, the account is locked: you can still sign in, download your data, reactivate Pro, cancel or delete the account, and nothing is charged for the locked period.
  • A locked account — for non-payment, the end of the trial or the end of the subscription — is permanently deleted, with all its content, 90 days after the lock. An account that never chose a plan is deleted 90 days after its last use. In both cases, we email you 30, 7 and 2 days in advance, and you can download your data at any time. Organizations follow the same rules (section 23).
  • Your content is yours. We use it only to provide the service to you, and we do not use it to train artificial intelligence.
  • In an organization, the projects belong to the organization: whoever leaves or is removed loses access to them at once, and the content stays. For that content, paperrise acts on the organization’s behalf (section 24).
  • You can share a project by email invitation, whole or in parts. Reading a shared project is free: the person only needs an account, even without a plan. With Pro, the owner shares their projects for reading only; with Team, also to edit or to edit and decide checkpoints, which takes one of the organization’s users (sections 4 and 23).
  • You can publish a local rule you wrote to the founders of the same country: they see it with your name, as a reference to check, and can report it; we may hide it, and you can withdraw it at any time (section 13).
  • paperrise’s guidance, including any that may in future be generated by artificial intelligence, is for information only and is not legal, accounting, tax, financial or investment advice.

3. Acceptance and applicable documents

By creating an account — with email and password or with a Google or Microsoft account — you confirm that you have read and accept these Terms and that you have read the Privacy Policy, which explains how we process your personal data. We record the version accepted and the date of acceptance.

If you create an organization or subscribe to the Team plan on behalf of a company or other entity, you confirm that you are authorized to accept these Terms on its behalf, and it is bound by them (section 23).

When you subscribe to a paid plan, the conditions shown on the pricing page and at checkout at the time of purchase also apply, such as price, currency and billing frequency.

If you do not agree with these Terms, do not use paperrise. You can save or print these Terms at any time; the version in force is always on this page.

4. The service

paperrise is an online platform that helps entrepreneurs structure, validate and develop business ideas — for example, with a guided journey in eight phases: the steps and templates of each phase, assumptions, evidence and experiments, recorded checkpoint decisions and the company checklist, with each country’s local rule. A project can be shared by email invitation, whole or in parts (each phase, the fundraising track, the checklist): to view (reading, free on any plan — the person only needs an account, even without a plan — and for a limited time, if whoever shares it wishes) and, in an organization’s project (Team plan), also to edit or to edit and decide checkpoints (section 23). A project’s data room gathers, in folders by theme, what the project chooses to show investors — documents generated from the project itself, never uploaded files — and can be opened, folder by folder and until a last day, to readers invited by email; each of their accesses is recorded for whoever runs the project (section 13). Each person also has a business CV, which they show in the projects whose team they are on, in the sections and cuts they choose and approve (section 13). Each project also has its indicators — monthly figures, cohorts and the metrics calculated from them, which go into investor reports —, the team’s rituals and reminders of what is due, in the app and in a daily summary by email; and whoever writes a local rule can publish it to the founders of the same country (section 13). The service is used through a web browser. Features based on artificial intelligence are in development: when they are launched, they will be described on the pricing page and in the Privacy Policy.

We may improve, change or replace features over time — for example, to fix problems, strengthen security, comply with the law or launch new features. If a change removes an essential feature of the plan you pay for or significantly reduces the service, we will give you at least 30 days’ notice, unless the change is required by law or necessary for security, and you may cancel. If the change takes effect before the end of a period already paid for and you cancel because of it, we will refund the amount proportional to the rest of the period.

5. Who can use paperrise

To use paperrise, you must be at least 18 years old and have the legal capacity to enter into contracts. At sign-up, we ask for your date of birth to confirm your age.

Accounts are personal and non-transferable: each account belongs to a single person, who may use it for personal or professional purposes, including as a member of organizations. Each member of an organization uses their own account. Do not create accounts on behalf of someone else, or more than one account to obtain another free trial.

6. Your account and its security

  • Provide accurate information and keep it up to date: you can correct your profile at any time under Account → “Profile”. Also keep access to your account’s email: we use it to send sign-in codes and important notices, including billing, lock and deletion notices. To change it, use Account → “Email”: we send a code to the new address and another to the current one, which authorizes the change. If you no longer have access to the current email, write to contact@paperrise.com.
  • Keep your password and access to your email safe and do not share them. Use a password you do not use for other services. You can create or change your password and connect or remove Google and Microsoft under Account → “Sign-in methods”, after confirming a code sent to your account’s email; the account must keep at least one way to sign in (a password or a connected account), and saving a password ends the sessions on your other devices.
  • When you sign in with a password on a new browser, we ask for a code sent by email; and whenever the account is signed in on a new device, by any sign-in method, or its email, password or connected accounts change, we alert you by email. If you notice access or a change you do not recognize, end the sessions under Account → “Connected devices”, change your password and write to contact@paperrise.com.
  • You are responsible for what is done through your account, except where misuse results from a failure on our part.

7. Plans, trial and prices

The plans, prices and limits in force are on the pricing page. Currently offered:

  • Trial: free, for 14 days, with all features and 1 project. It needs no card and does not turn into a paid subscription automatically. It is granted only once per person and per email address.
  • Pro: monthly subscription for individual use, of R$19.90 per month, with up to 100 personal projects, which the owner can share for reading (View) with other people, at no cost to them.
  • Team: monthly subscription for organizations, of R$39.90 per user per month, from 1 user (the owner), and up to 500 projects per organization (section 23), which can be shared, whole or in parts, to view, edit, or edit and decide checkpoints. It has no free trial and is available when it is offered on the pricing page.
  • Reading shared projects: free for whoever receives them. An account without a plan uses paperrise only to read the projects shared with it, while the owner of each project has access; creating projects, working on them or writing a business CV needs the trial, Pro or a user in an organization.
  • Reading data rooms: free for the invited reader, who only needs an account, even without a plan, and takes no user of an organization; the folders open while the project’s owner (or the organization) has access.

Paid plans (Pro and Team) are offered only to customers in Brazil, with a billing address and a card issued in Brazil. A subscription taken out with a billing address or card from another country is declined at payment or, if the payment goes through, cancelled right after: the plan is not activated, and the amount charged in reais is refunded in full (the conversion and the fees of the bank or card issuer are not charged or received by paperrise). The free trial stays open to everyone. You are charged in Brazilian reais (BRL), with the price fixed in reais.

The amount charged is the price shown on the pricing page and at checkout, in Brazilian reais: no tax or fee is added at checkout. We may offer promotional codes, with the conditions stated when they are used. Other plans may be offered on the pricing page.

8. Payment and automatic renewal

  • Pro is charged when you subscribe and then automatically every month, on the same date, to the payment method on file, until you cancel. By subscribing, you authorize these recurring charges.
  • Team is charged in the same way, to the organization’s payment method, for the number of users its owner chooses; the rules on users are in section 23.
  • Payments are processed by Stripe. Card details are entered directly with Stripe and do not pass through paperrise’s servers.
  • You can view your invoices and update your payment method under Account → “Manage subscription”; for an organization, its owner does so in the organization’s settings.
  • If we change the price, we will notify you by email at least 30 days in advance. The new price applies only to renewals after that notice period — never to a period already paid for — and you can cancel before then at no cost.

9. Right of withdrawal

You can withdraw from the Pro subscription within 7 days of subscribing or reactivating, without giving a reason, and receive a full refund of the amount paid (Brazilian Consumer Protection Code, art. 49).

For consumers in the European Union, the European Economic Area and the United Kingdom, the period is 14 days from subscribing or reactivating, also with a full refund.

The same right applies to a Team subscription (or its reactivation), within the same periods, exercised by the organization’s owner: we end the organization’s subscription and refund in full the amounts paid for it.

To withdraw, write to contact@paperrise.com within the period, preferably from your account’s email address, saying that you wish to withdraw; you do not need to give a reason. The date you sent the request is what counts. We reply confirming receipt as soon as we read the request, no later than the next business day, and, at the same time, we end the subscription and ask Stripe for a full refund to the same payment method, which is passed on to your card issuer. How long the refund takes to appear on your statement depends on your bank or card issuer.

After the withdrawal, the account is locked and follows the rules in section 12; you can download your data or delete the account whenever you wish. Deleting the account is not the same as withdrawing: if you want the refund, ask to withdraw before deleting the account.

If you wish, you can use the model withdrawal form below, provided for in European legislation. Using it is not required:

  • To: Baesso Works Servicos Administrativos LTDA., Praca Cruz da Esperanca, 106. Vila Baruel, São Paulo - SP. 02522040 - Brazil., contact@paperrise.com
  • I hereby give notice that I withdraw from my contract for the provision of the following service: paperrise Pro or Team subscription
  • Ordered on (date):
  • Name of consumer:
  • Address of consumer:
  • Signature of consumer (only if this form is notified on paper):
  • Date:

10. Other refunds

Outside the right of withdrawal, the amount for a monthly period that has already started is not refunded pro rata when you cancel or delete your account. When you cancel, you keep access until the end of that period. The same applies to an organization’s Team subscription when it is cancelled, when the number of users is reduced or when the organization is deleted.

We refund in full, at any time, charges made in error — for example, duplicate charges or charges after a cancellation — without prejudice to the refund of twice the amount provided for in art. 42, sole paragraph, of the Brazilian Consumer Protection Code, where it applies. Where the law so provides, we also refund amounts corresponding to service failures attributable to us.

11. Cancellation

  • You can cancel at any time, with no penalty and without having to talk to anyone, under Account → “Manage subscription”, on Stripe’s secure page. You can also ask to cancel by email, at contact@paperrise.com.
  • Cancelling does not depend on paying any open invoice.
  • After you cancel, nothing more is charged, and access continues until the end of the period already paid for.
  • We email you a cancellation confirmation, with a reference number, the date your access ends and the date the account is scheduled to be deleted.
  • At the end of the paid period, the account is locked and, 90 days later, deleted (section 12). If you prefer, you can delete the account immediately, under Account → “Delete account”.
  • An organization’s Team subscription is cancelled by its owner, in the organization’s settings, on Stripe’s secure page, with no penalty; access continues until the end of the period already paid for, and the organization is then locked and, 90 days later, deleted (section 23). We email the owner the same cancellation confirmation, with the date the organization is scheduled to be deleted.

Deleting the account ends the subscription at once, without a refund for the rest of the period already paid for. Deleting the account is not the same as withdrawing: if you are still within the period in section 9 and want the refund, ask to withdraw before deleting the account.

12. Non-payment, account lock and deletion

Please read this section carefully: it covers the permanent deletion of your account and your content.

If a renewal payment fails:

  • you keep full access for 7 days from the first failure, and Stripe retries the charge during that period;
  • we email you on the day of the failure and again 2 days before the lock, with the lock date and how to pay, download your data or cancel;
  • during those 7 days, you can update your payment method or pay the open invoice, and the monthly period continues as normal;
  • if the payment is not settled within 7 days, the account is locked and the subscription is ended. Nothing is charged for the locked period.

The account is also locked when the trial ends without a Pro subscription and when a cancelled subscription reaches the end of its paid period.

While the account is locked, you can still sign in, download your data, reactivate Pro, cancel and delete the account. Other features are unavailable until reactivation. To reactivate, simply subscribe again (on the conditions of section 7 for paid plans): access returns immediately, with all your content, and a new monthly period starts from the payment. Locked months are never charged.

If the account stays locked for 90 days, it is permanently deleted, with all its content. We email you 30, 7 and 2 days before the deletion; if a notice is delayed, the deletion is postponed so that each notice gets its full notice period. An account that never chose a plan is deleted 90 days after its last use, with the same notices. Dates and times in these emails are in UTC.

While an account holds a place in an organization with access, or owns an organization that other people belong to, it is not deleted under this section: if it has no trial or Pro of its own, its personal projects stay locked, and once nothing keeps the account, its deletion is announced again with the notices above, the first one at least 30 days in advance. Organizations follow the rules in section 23.

After deletion, content cannot be recovered. We keep only the records the law requires or that serve as evidence, described in the Privacy Policy. Deletion — automatic or at your request — is suspended while there is a court order, a request from an authority, legal proceedings or an open payment dispute: during that time, the account is kept with all its data and, once the reason no longer applies, the periods start over, with new email notices (Privacy Policy, section 10).

We recommend downloading your data regularly, under Account → “Download my data”.

13. Your content

Everything you create in or upload to paperrise — projects, texts, materials, assumptions, evidence, local rules and other content (“your content”) — remains yours. paperrise acquires no ownership rights over it. Content created in or moved into an organization follows section 24.

Sharing: when you share a project, you (or the organization, in one of its projects) choose with whom, with which permission, which parts and until when, and you can change or remove the access at any time; the access ends the next time the person uses the service. You are responsible for sharing only what you may share with those people. Whoever receives a shared project acquires no rights over its content and may use it only on paperrise, in the parts and with the permission received. Your business CV is yours: it appears in a project only by your choice, in the sections and cuts you approve, and leaves it when you take it out or leave the project’s team.

Data room: you (or the organization, in one of its projects) choose what goes in each folder, who reads each folder and until when, and you can remove documents, change a reader’s folders and last day or remove the access at any time; filing in a folder that has readers shows it to them, and you are responsible for putting there only what you may show. Documents are generated from the project when opened, as they are at that moment, and business CVs are included only as each person approved their investor cut. A reader sees only the folders of their invitation until the last day, acquires no rights over the content and may use it only to assess the project. Each time they open the data room, read or export a document, it is recorded, with no possibility of editing, for whoever runs the project; by accepting the invitation, the reader agrees to this record.

Published local rules: you may publish a local rule you wrote to the founders who list its country in their projects. Before publishing, you see exactly what they will see and agree to show it with your name. You are responsible for its content, which must reflect what you consulted, cite its source honestly and not be someone else’s text presented as your own; it is a reference for others to check, not advice. Publishing it grants paperrise the license in this section to show the copy to those founders, and lets each of them adopt it as a rule of their own — a copy that stays theirs, which they must validate again; a rule you adopted can be published only once validated in your project, and never while the one it came from is hidden. Anyone who sees a published rule may report it; reports from several organizations or people hide it until our team reviews it, and we may hide a rule that breaks these Terms or the law, with the reason, which we email you; if you think it was a mistake, write to contact@paperrise.com. You can withdraw the publication at any time; withdrawing does not take back the copies others adopted.

So that each project’s history can be relied on, part of your content is kept without editing: the versions of materials and, until the project is deleted, the checkpoint decisions and the audit log. The project’s owner can erase from the history the content of a card, a material, an assumption, a piece of evidence or an experiment, and a contact of the funnels with every item that names it, which is replaced by the record that it was erased (Privacy Policy, section 3).

To provide the service, you grant us a free, non-exclusive, worldwide and limited license to host, store, copy, process, transmit and display your content, and to convert it into other formats (for example, when exporting), solely to provide, maintain and protect the service for you and to comply with legal obligations. The license ends when the content is deleted, except for backup copies, which expire within 35 days.

We do not sell your content, publish it, use it in advertising or use it to train artificial intelligence models.

You confirm that you hold the necessary rights to the content you upload. If it includes other people’s personal data — for example, names or answers of people interviewed while validating an idea, or the contacts of your funnels (interviewees, prospects, customers, investors) —, you are responsible for handling it lawfully, as its controller, and for including only what is necessary; we process it only to provide the service to you, as your processor (operador).

If you use paperrise for professional purposes and the LGPD, the GDPR or the UK GDPR applies to other people’s personal data included in your content, we process that data as a processor (operador), on your behalf, and this clause serves as the data processing agreement required by article 28 of the GDPR and the UK GDPR and as your instructions to us under article 39 of the LGPD. In that case:

  • we process that data only to provide the service, in accordance with these Terms and the instructions you give us by using the service;
  • the members of our team who have access to it are bound by confidentiality;
  • we apply the security measures described in section 15 of the Privacy Policy;
  • we use the sub-processors listed in section 8 of the Privacy Policy and will notify you at least 30 days before adding another one that receives your content, so that you can object or cancel;
  • we help you, as far as reasonable, to respond to data subject requests and to meet your obligations on security, incident notification and impact assessments;
  • we notify you without undue delay if a security incident affects that data;
  • at the end of the contract, the data is deleted together with the account, and backup copies expire within 35 days;
  • we provide the information needed to demonstrate compliance with these obligations and allow reasonable audits, with prior notice.

You can download a copy of your content at any time, even while the account is locked; an organization’s content is downloaded by its owner (section 24).

14. Acceptable use

When using paperrise, you agree not to:

  • break the law or infringe the rights of others, including copyright, trademarks, trade secrets, privacy and data protection;
  • upload content that is unlawful, defamatory or discriminatory, that incites violence or that exploits children or teenagers;
  • upload viruses or malicious code, or try to access accounts, data or systems without authorization;
  • test, probe or circumvent security mechanisms or usage and plan limits, including by creating multiple accounts to obtain new trials;
  • overload the service or access it by automated means, such as bots and scrapers, beyond normal use through a browser;
  • copy, resell, sublicense or make the service available to third parties, or share your account;
  • reverse engineer the software, except to the extent permitted by law;
  • publish local rules that are false, misleading or abusive, or someone else’s text presented as your own, or report published rules in bad faith or together with other accounts to hide them;
  • use the service, including invitations to organizations, to projects and to data rooms, to send spam or to deceive or harm other people.

15. paperrise’s intellectual property

The software, the paperrise brand, the logo, the design, the texts, the templates and the other elements of the service belong to paperrise or its licensors and are protected by law. While your account is active, we grant you a personal, non-exclusive, non-transferable and revocable license to use the service in accordance with these Terms. No other rights are granted.

If you send us suggestions or feedback about the service, we may use them to improve it, with no obligation to pay you. This does not apply to your content.

16. Artificial intelligence and the nature of guidance

paperrise offers templates and frameworks — such as the journey’s steps and templates, the checkpoint criteria, the company checklist, the local rule, the indicators’ calculations and the reminders — and may generate suggestions, analyses, questions, texts and other outputs automatically, including with artificial intelligence. This content and these outputs:

  • are for information and educational purposes;
  • may contain errors, omissions or out-of-date information, and you should review them;
  • are not legal, accounting, tax, financial or investment advice, and do not replace qualified professionals;
  • do not guarantee results, such as validating an idea, raising investment or the success of a business.

The templates of contracts, terms, policies and shareholdings, the company checklist and the local rules are general structures, which must be adapted to each country’s law by a local lawyer and accountant. A local rule is written by whoever recorded it — you or, in a shared project, someone else —, and paperrise does not check its content. A local rule published by another founder is a reference to check: paperrise does not check it either, and whoever adopts it must validate it.

The indicators are calculated from the figures you enter, with the formulas described in the service, and the reminders follow the dates recorded in your projects: they are aids, not a guarantee — a reminder that does not arrive (for example, because you stopped the emails or a date was not recorded) does not change any deadline, which remains yours to keep.

Decisions about your business are yours. Before making important decisions, consult qualified professionals.

Today, no artificial intelligence provider receives your content. Before launching features that send content to a provider, we will update the Privacy Policy and notify you.

17. Availability of the service

We work to keep paperrise available and secure, but we do not guarantee uninterrupted or error-free operation and do not offer a service level agreement (SLA). Interruptions may occur due to maintenance, updates, provider failures, attacks or events beyond our control. Whenever possible, we will announce scheduled maintenance in advance.

This does not affect the rights the law gives you, such as a proportional price reduction in the event of a significant service failure (Brazilian Consumer Protection Code, art. 20).

18. Liability

We are liable for damage we cause you in accordance with the applicable law. Nothing in these Terms excludes or limits rights the law grants to consumers, or our liability for willful misconduct or gross negligence.

We are not liable for damage caused solely by you or by third parties, without any failure on our part (Brazilian Consumer Protection Code, art. 14, §3, II), such as:

  • losses caused by someone else using your account when you did not protect your password or email;
  • the content you upload and the use you make of it;
  • failures of third-party services that are not part of paperrise, such as your email provider, your internet provider or your bank.

If you do not contract as a consumer, under the applicable law, our total liability for any claim relating to the service is limited to the amount you paid paperrise in the 12 months before the event giving rise to it, except in cases of willful misconduct or gross negligence, and does not include loss of profits or indirect damage.

Consumers in the European Union, the European Economic Area and the United Kingdom retain all their statutory rights regarding digital content and services, including where the service does not conform to the contract.

19. Suspension and termination by paperrise

We may suspend access to an account, proportionately, in the event of a serious breach of these Terms, fraud, a risk to the security of the service or of other people, or an order from a competent authority. Whenever the law allows and it does not put security at risk, we will tell you why, and you may contest it at contact@paperrise.com.

When we suspend an account with an active subscription, we end the subscription at once, so that nothing more is charged. The period already paid for is not refunded when the suspension results from a serious breach of these Terms or from fraud; if the suspension proves unjustified, we refund the amount proportional to the rest of the period, and you can reactivate Pro with a new subscription. While the account is suspended, you cannot sign in, but you can ask for a copy of your data or for the account to be deleted at contact@paperrise.com, unless the law or an order from an authority prevents it. A suspension does not stop the deletion periods in section 12, and the deletion notices continue to be sent by email.

If we terminate the contract without you having breached these Terms — for example, if we stop offering the service — we will give at least 30 days’ notice, whenever possible, so that you can download your data, and we will refund the amount proportional to the period paid for and not used.

These rules also apply to organizations. When we suspend an organization, its subscription ends at once, nobody can open its projects or join it, and its owner can ask for a copy of its data or for its deletion at contact@paperrise.com; the periods in section 23 continue to run.

20. Changes to these Terms

We change these Terms only for concrete reasons: changes in the law, in regulations or in decisions of authorities; security needs; the launch, change or withdrawal of features (section 4); and changes in the providers we use to provide the service. Price changes follow section 8. We notify you of relevant changes by email at least 30 days in advance, stating what changes and when it takes effect. Changes required by law or by an authority may take effect sooner, when necessary.

Changes unfavorable to you never apply to a period already paid for, except those required by law. If you do not agree with a change, you can cancel your subscription at no cost before it takes effect; if you cancel in the middle of a paid period, you can choose between keeping access until its end under the previous conditions or receiving a refund of the amount proportional to the rest of the period. If you continue to use paperrise after the effective date, the new conditions apply to you.

The version in force is always on this page, with its date at the top. Previous versions can be requested at contact@paperrise.com.

21. Governing law and jurisdiction

These Terms are governed by the laws of Brazil.

If you are a consumer in Brazil, you may bring proceedings in the courts of your domicile (Brazilian Consumer Protection Code, art. 101, I). If you are not a consumer, the courts of the district of paperrise’s registered office, stated in section 1, are chosen.

If you are a consumer living in another country, the choice of Brazilian law does not deprive you of the protection of the mandatory rules of your country of residence, and you may bring proceedings in the courts of that country where its law allows.

Before going to court, you can contact us at contact@paperrise.com: we will try to resolve the matter quickly and amicably. This does not prevent you from contacting consumer protection bodies at any time.

22. General provisions

  • We use your account’s email address for the notices provided for in these Terms.
  • If any clause of these Terms is held invalid, the remaining clauses remain in effect.
  • Not exercising a right under these Terms does not mean waiving it.
  • You may not transfer your account or these Terms to another person (the ownership of an organization can be transferred as described in section 23). We may transfer this contract to another company in the event of a reorganization, merger or sale, provided your rights are preserved, and we will notify you beforehand.
  • These Terms are published in Brazilian Portuguese and in English; in the site’s other languages, the English version is shown. In case of discrepancy, the Brazilian Portuguese version prevails, without prejudice to the interpretation most favorable to the consumer.

23. Organizations and the Team plan

An organization is a shared space in paperrise where a company or a team works on projects together. Any person with a completed sign-up can create one and becomes its owner. Organizations use the Team plan, which has no free trial: until it is subscribed to, an organization cannot invite anyone or open projects.

When you create an organization or subscribe to the Team plan, you do so on behalf of the company or group the organization represents and confirm that you are authorized to bind it. The organization is then our customer for the Team plan: the invoices are issued in its name, with the billing address and tax ID (such as the CNPJ) given at checkout. If the organization does not correspond to a company or other entity, you are the customer.

Each organization has three roles:

  • Owner — exactly one per organization. Manages the subscription, the number of users and the payment method, appoints admins, exports the organization’s data and can delete the organization, besides doing everything an admin does.
  • Admins — invite members, remove members, create the organization’s projects, see and edit all of them, share each project with members and with people from outside, choosing the permission, the parts and, for reading, until when and rename the organization.
  • Members — open only the projects shared with them, whole or in parts, with the permission chosen by the owner or an admin: View, Edit, or Edit and decide checkpoints. Someone with Edit and decide checkpoints decides the checkpoints of the phases they reach (stopping, closing and reactivating stay with the owner and the admins) and can invite readers to those parts.

The owner acts for the organization and, on its behalf, is responsible for: keeping the payment up to date and choosing how many users to pay for; the people the organization invites and the access it gives each of them, including when an admin does so; making sure the organization may share with its members the content and personal data it puts in its projects; and dealing with requests about that content (section 24).

Invitations: the owner or an admin invites people by email (only the owner invites admins). We send the invitation on their instruction, with the organization’s name and the name of whoever invited. An invitation can be accepted only once, within 7 days, and only by the account with the same email address, already confirmed; sending it again creates a new link (the previous one stops working), and it can be revoked at any time. To accept, the person needs a paperrise account, which requires being 18 or over and accepting these Terms.

Users: each user the organization pays for lets one person — the owner included — work on the organization’s projects shared with them. A pending invitation holds a user until it is accepted, declined or revoked, or expires. A user does not include personal projects: for those, each person uses the trial or a Pro subscription of their own. Sharing one of the organization’s projects for reading only (View) with someone who is not a member takes no user; Edit and Edit and decide checkpoints take one, and someone who is not a member joins the organization as a member when they accept the invitation. If no user is free, the owner needs to increase the number of users first. A data room reader takes no user and does not join the organization.

Billing of the Team plan:

  • The price is charged per user per month, and the owner counts as one user; an organization can start with the owner alone. The number of users paid for cannot be lower than the members plus the pending invitations. Up to 200 users can be managed in paperrise; for more, contact us.
  • The subscription is charged when the owner subscribes and then automatically every month, on the same date, to the organization’s payment method, until it is cancelled. By subscribing, the owner authorizes these recurring charges on the organization’s behalf.
  • Users added later are charged at once, in proportion to the rest of the current monthly period, and become available once that payment goes through.
  • The owner views the invoices, updates the payment method and the billing details, and cancels the subscription in the organization’s settings, on Stripe’s secure page. Cancelling has no penalty, and access continues until the end of the period already paid for.
  • Sections 8 (price changes), 9 (right of withdrawal) and 10 (other refunds) also apply to the Team subscription, with the owner acting for the organization.

A reduction in the number of users takes effect from the next invoice, with no refund or credit for the current period. Removing a member frees their place, but does not change the invoice until the owner reduces the number of users.

Non-payment and lock: section 12 also applies to organizations. If a renewal is not paid, every member keeps full access for 7 days, and we email the owner on the day of the failure and again 2 days before the lock. The organization is then locked — as it also is when a cancelled subscription reaches the end of its paid period, or when free access granted by us ends — and we email the owner and the admins. While it is locked, nobody can open its projects; the owner can still pay or subscribe again, export the data and delete the organization, and the owner and the admins can still remove members and revoke invitations. Locked weeks are never charged.

An organization that stays locked for 90 days is permanently deleted, with all its projects. We email the owner 30, 7 and 2 days before; if a notice is delayed, the deletion is postponed so that each notice gets its full notice period, and the suspensions described in section 12 apply as well. After the deletion, every member is told by email. The members’ accounts and personal projects are not affected. An organization that was never paid for and has no projects is deleted 30 days after it was created.

Leaving and removal: admins and members can leave an organization at any time. The owner can remove anyone else, and an admin can remove members. Whoever leaves or is removed loses access to the organization’s projects at once, and what they wrote stays in the organization (section 24). We tell the person removed by email.

The owner cannot leave the organization. To stop being responsible for it, the owner transfers its ownership to another member or deletes it. For now, ownership is transferred by our team, at the owner’s request sent to contact@paperrise.com from the owner’s account email address, to a member who agrees to it; the previous owner becomes an admin, and the invoices go to the new owner’s email address.

Only the owner can delete an organization, after typing its name and confirming a code sent by email. The deletion ends the subscription at once, with no refund for the rest of the period already paid for, and erases the organization with all its projects, their content and access; every member is told by email. Backup copies expire within 35 days. We recommend exporting the data first.

An account cannot be deleted while it owns an organization that has other members or a subscription that is active, granted by us free of charge or awaiting payment of a renewal: transfer or delete that organization first. An organization whose only member is its owner and that has no such subscription is deleted together with the owner’s account.

24. Content and personal data in organizations

Projects, materials, assumptions, evidence and other content created in or moved into an organization (“the organization’s content”) are kept by the organization: they stay in it when the person who wrote them leaves, is removed or deletes their account, and the organization — through its owner and admins — decides who can see or edit them and whether they are deleted. A personal project moved into an organization cannot be moved back. Local rules are the exception: they belong to whoever wrote them, who alone chooses to publish one to the founders of its country (section 13), and leave the projects when that person deletes them or deletes their account (Privacy Policy, sections 3 and 18).

paperrise acquires no ownership of the organization’s content, and the license in section 13 applies to it, with the organization in place of “you”. Any rights over that content between the organization and the people who write it (for example, under an employment or service contract) are a matter between them.

For the organization’s content and the data about its use — the personal data in its projects, its list of members and their roles, the access given to each member, its invitations, the data room with its folder readers and their access log, and its activity log — the organization is the controller, and paperrise processes that data as its processor (operador, under the LGPD; processor, under the GDPR and the UK GDPR), only to provide the service and following the instructions the organization gives by using it. The commitments in section 13 for data we process on your behalf apply to the organization, which takes your place there, and sections 13 and 24 form the data processing agreement between paperrise and the organization. Each person’s own account data — profile, sign-in and security data, personal projects and their own subscription — and the organization’s billing data remain under paperrise’s responsibility as controller, as the Privacy Policy explains.

What members see about each other:

  • every member sees the organization’s name and the owner’s name;
  • on each project a member can open, they see the names of the others who can open it and their access, and the names of who created and edited the project and what is in it (versions, diary entries, evidence, decisions and checklist items), including in the audit log;
  • someone with access to only some parts of a project sees only those parts, besides the project’s name and who has access; people from outside the organization a project is shared with see the same as a member with the same permission and parts;
  • a data room reader — a member or someone from outside — sees only what is filed in the folders of their invitation, until the last day, and the names of the project and the organization; the owner, the admins and whoever has Edit and decide checkpoints on the whole project see the readers and their access log;
  • the owner and the admins also see each member’s email address, role, date of joining and access to projects, and the pending invitations, with the email addresses invited;
  • members who are not the owner or an admin do not see other members’ email addresses, and nobody in the organization sees anyone’s personal projects.

A person who wants to access, correct or delete personal data in the organization’s content should contact the organization, through its owner. If such a request reaches us, we pass it on to the owner or tell the person whom to contact, and we help the organization answer it. Each person can still, at any time, download their own data from their account — which lists the organizations they belong to and their access to projects, without the organization’s content — and delete their account.

The owner can download all of the organization’s data at any time, in JSON format, in the organization’s settings, also while it is locked: its details, members, projects with the journey of each one and the data room (with its folder readers, the invitations to it and the access log), access, invitations and activity log. The organization’s content is deleted when the organization is deleted (section 23), and a project when the owner or an admin deletes it; backup copies expire within 35 days.
